Welcome to Nad DEX (accessible at nad.dex or the appropriate URL), a website-hosted user interface (the “Site”) provided by Nad DEX (“we,” “our,” or “us”). The Site provides access to a blockchain protocol that allows users to trade certain digital assets (the “Nad DEX Protocol” or the “Protocol”). The Site helps users interact with the Protocol but is distinct from the Protocol itself.
By accessing or using the Site, you indicate that you have read, understand, and agree to be bound by this Agreement in its entirety. If you do not agree, you must not use the Site.
1. Definitions
Key terms include:
Affiliate – in relation to SynFutures, any entity controlled by or under common control with SynFutures.
AML / CFT – Anti-money laundering / Countering the financing of terrorism laws.
Digital Tokens – cryptocurrencies or similar digital assets.
Digital Tokens Wallet – third-party software or hardware for holding tokens.
Government / Government Official – as commonly defined in regulatory contexts.
Laws – all applicable rules and regulations.
Prohibited Person – individuals or entities on sanctions lists or in restricted jurisdictions.
Sanctions List – e.g., OFAC SDN list, UN or EU sanctions lists.

2. Right To Use The Site
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Site subject to:
Compliance with this Agreement.
Not being a Prohibited Person.
Not using the Site in restricted or sanctioned jurisdictions.
We may terminate your access at any time, with or without cause.
3. Proprietary Rights
We (and our licensors) own all intellectual property in the Site’s design, content, and software.
Nad DEX name and logos are our trademarks.
You may not copy, modify, distribute, sell, or reverse engineer the Site except as permitted by law or with written permission.
4. Additional Rights
We may:
Refuse access to any user.
Block certain IPs or jurisdictions.
Implement security measures such as multifactor authentication or limits.
5. Prohibited Uses
You agree not to:
Violate any applicable Laws (including AML/CFT rules).
Use the Site to commit fraud, money laundering, or other financial crimes.
Attack or overload the Site (e.g., DDoS).
Bypass or tamper with security mechanisms.
Scrape or harvest data beyond normal use.
Impersonate others or misrepresent your affiliation.
6. Non-Custodial And No Fiduciary Duties
Nad DEX is non-custodial – we never hold your assets.
You control your own wallet and keys.
We are not your broker, agent, or advisor and owe no fiduciary duties.
7. Non-Solicitation; No Investment Advice
The Site is an interface to a decentralized protocol for informational and transactional purposes only.
Nothing on the Site is investment, legal, or tax advice.
You must make your own decisions and consult professionals if needed.
8. No Warranties
The Site is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, including:
No guarantee of uptime or error-free operation.
No guarantee of accuracy or completeness of information.
No guarantee that the Site will meet your expectations.
9. Assumption Of Risk
By using Nad DEX, you acknowledge and assume risks including:
Asset volatility
Smart contract bugs or exploits
Network failures or congestion
Regulatory changes
Loss of access to your wallet
You must not use funds you cannot afford to lose.
10. Third-Party Resources And Promotions
The Site may link to third-party sites or services.
We do not endorse or control those resources.
Any promotions or programs (e.g., Voyage) may have additional terms and can be updated or cancelled.
11. Release Of Claims
You release Nad DEX and its affiliates from claims, damages, or losses arising from:
Disputes with other users or third parties.
Failures or errors in the Protocol or Site.
Unauthorized access to your wallet.
12. Indemnity
You agree to indemnify Nad DEX and its affiliates against claims arising from:
Your use of the Site or Protocol.
Your breach of this Agreement or applicable Laws.
Your infringement of third-party rights.
13. Limitation Of Liability
To the maximum extent permitted by law:
Nad DEX is not liable for indirect, incidental, special, consequential, or punitive damages.
Total liability is limited to the greater of (a) the amount you paid us in the prior 12 months (typically $0), or (b) $100.
14. Resolution Of Disputes; Arbitration
Disputes are resolved via binding arbitration (except small claims or urgent injunctive relief).
No judge or jury; an arbitrator’s decision is final, subject to limited review.
The seat and rules of arbitration will be specified in the full legal document.
15. Class Action And Jury Trial Waiver
You agree:
Not to bring or participate in class or representative actions.
To waive any right to a jury trial, where permitted by law.
16. Governing Law
The Agreement is governed by the laws of the designated jurisdiction (e.g., Cayman Islands, Delaware, or another jurisdiction as specified).
17. Language And Contact
The English version prevails in case of conflict with translations.
